Trade Data Licensing Terms

These Trade Data Licensing Terms apply when Dureach provides access to customs, shipment, import-export, bill-of-lading, company, professional, enrichment, market-intelligence, or other B2B data products through the website, SaaS platform, APIs, exports, reports, or custom delivery.
These terms supplement the Customer SaaS Terms, Acceptable Use Policy, Privacy Policy, and any applicable order form. If a signed data license conflicts with these public terms, the signed license controls.
1. Licensed Data
“Licensed Data” means data, records, fields, files, exports, scores, attributes, enrichment results, trade signals, shipment records, company profiles, professional contact details, documentation, and metadata made available by Dureach or its data providers.
Licensed Data may come from public records, government publications, trade-data sources, licensed third-party providers, customer-authorized sources, websites, directories, and Dureach processing.
2. License Grant
During the applicable subscription or license term, Dureach grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use Licensed Data for your internal business purposes and only within the usage limits, geography, fields, delivery method, seats, API limits, and use cases stated in your order or plan.
No ownership of Licensed Data transfers to you.
3. Permitted Uses
Unless your order states otherwise, you may use Licensed Data to:
- Research markets, accounts, suppliers, buyers, and business relationships.
- Support internal sales, marketing, RevOps, procurement, supply-chain, risk, and account-planning workflows.
- Enrich customer-controlled business records.
- Build internal reports, dashboards, segmentation, scoring, and analysis.
- Use Dureach APIs, exports, or workspace features within licensed limits.
4. Prohibited Uses
You may not:
- Resell, sublicense, publish, distribute, or provide Licensed Data as a standalone dataset or competing data product.
- Share Licensed Data outside your organization except with contractors who need access for your internal use and are bound by confidentiality and use restrictions.
- Use Licensed Data for credit, lending, insurance, employment, housing, tenant screening, public-benefit, education-admission, immigration, law-enforcement, or similar eligibility decisions.
- Use Licensed Data to determine a person’s eligibility, rights, benefits, or legal status.
- Use Licensed Data for unlawful surveillance, harassment, discrimination, doxxing, sensitive profiling, or targeting based on protected characteristics.
- Use Licensed Data to train foundation models, large language models, or competing data products unless Dureach expressly agrees in writing.
- Remove proprietary notices, conceal source restrictions, bypass rate limits, or defeat access controls.
- Reidentify, infer sensitive attributes, or combine Licensed Data in a way that violates law or contractual restrictions.
5. Trade and Customs Disclaimer
Licensed Data may include customs, shipment, importer, exporter, routing, commodity, supplier, buyer, and market signals. These records can be delayed, incomplete, corrected later, aggregated, normalized, inferred, or affected by source limitations.
Dureach does not provide customs brokerage, legal, sanctions, tax, financial, import-export compliance, or logistics advice. You must validate Licensed Data before relying on it for compliance, contracting, procurement, supply-chain, customs, or commercial decisions.
6. Data Accuracy and Availability
Dureach works to provide useful business-context data, but Licensed Data is provided “as is” unless a signed agreement states otherwise. Dureach does not guarantee completeness, accuracy, freshness, deliverability, availability, or fitness for a specific purpose.
Data sources, fields, coverage, refresh rates, match rates, and availability may change over time.
7. Privacy and Suppression
You must use Licensed Data in compliance with privacy, electronic communications, anti-spam, telemarketing, data-broker, consumer protection, export-control, sanctions, and other laws that apply to your use.
You must honor opt-outs, suppression requests, deletion requests, consent requirements, and do-not-contact obligations that apply to your workflows.
Dureach may suppress, remove, restrict, or update records to satisfy privacy requests, provider requirements, legal obligations, or data-quality controls.
8. Security and Access Controls
You must protect Licensed Data using reasonable administrative, technical, and organizational safeguards. You may not expose Licensed Data in public repositories, unsecured spreadsheets, open storage buckets, public dashboards, or unapproved systems.
You are responsible for your users, API keys, exports, contractors, integrations, and downstream copies.
9. Derived Data
You may create internal analysis, tags, notes, scoring, segments, and reports derived from Licensed Data for permitted internal business use. Derived data remains subject to these restrictions if it can reveal, reconstruct, replace, or function as a substitute for Licensed Data.
10. Audits and Misuse
Dureach may review usage patterns, API logs, export activity, and account behavior to monitor compliance. If Dureach reasonably suspects misuse, it may request information, restrict access, suspend exports, revoke API keys, or terminate data access.
11. Termination and Deletion
When your data license ends, you must stop using Licensed Data and delete or return Licensed Data unless your order states a post-termination retention right or law requires retention. Archived backup copies may be retained only if they remain protected and are not used except for legal, audit, or compliance purposes.
